GENERAL TERMS AND CONDITIONS.

INTRODUCTORY PROVISION

The general terms and conditions govern all sales contracts and the resulting legal relations between the company Bc.Vladislav Hoľa – Ekofakt, the operator of the domain https://ekofakt.com (hereinafter referred to as the “Seller”) and its customers (hereinafter referred to as the “Buyer”). Buyers are trading companies, sole proprietors, associations, companies and firms, as well as other persons who use the goods not for personal consumption, but for the performance of business activities. Relations between the Seller and the Buyer are primarily governed by the Seller’s General Terms and Conditions. Other unregulated relationships are governed by the provisions of the Commercial Code. All deliveries of goods and services and legal relationships that were made during the period of validity of these General Terms and Conditions are subject to them.

By ordering goods or services as well as purchasing goods or services from the Seller, the Buyer accepts the General Terms and Conditions of the Seller. This act enters into force for all relations between the Buyer and the Seller.

 I.General terms and conditions

 

  1. The seller is obliged to deliver the goods to the buyer, hand over the documents that apply to the goods and enable the buyer to acquire ownership rights to the goods.
    2. The Seller is obliged to deliver the goods to the Buyer in the quantity, quality and design as specified in the contract and must pack or equip them for transport in a suitable manner and hand over to the Buyer the documents necessary for taking over and using the goods.
    3. The buyer acquires ownership rights to the goods only upon full payment of the purchase price.
    4. If it was agreed to secure the obligation to pay the purchase price, the Buyer is obliged to hand over to the seller documents proving that the payment of the purchase price was secured in accordance with the contract at the agreed time, otherwise in time before the time agreed for the delivery of the goods. If the Buyer does not fulfill this obligation, the Seller may refuse the delivery of the goods until the delivery of these documents. If the Buyer does not ensure payment of the purchase price within an additional reasonable period determined by the Seller, the Seller may withdraw from the contract.
    5. If the Buyer is late with taking over the goods or paying the purchase price in cases where the delivery of the goods and the payment of the purchase price are to take place at the same time, and the Seller has the goods with him or can dispose of them in another way, the Seller must take measures appropriate to the circumstances for the preservation of goods. The Seller is entitled to retain the goods until the Buyer reimburses him for the reasonable costs incurred by the Seller.
    6. A material breach of contract by the Seller presupposes that the Seller knew at the time of concluding the contract, or at that time, taking into account the purpose of the contract, which resulted from its content or the circumstances under which the contract was concluded, it was reasonable to foresee that the other party will not be interested in the Seller’s performance in case of such breach of contract. If these criteria for a material breach of contract are not met, it is a non-material breach. In doubt, the breach of contract is presumed to be immaterial.
    7. Damage to things means the loss, destruction, damage, or deterioration of things, regardless of the reasons for which they occurred.

 

  1. Risk of damage to goods

 

  1. The risk of damage to the goods passes to the Buyer at the time when he takes over the goods from the Seller, or if he does not do so in time, at the time when the Seller allows him to dispose of the goods and the Buyer breaches the contract by not taking over the goods.
    2. If, according to the contract, the Seller is obliged to hand over the goods to the carrier at a certain place for the transport of the goods to the Buyer, the risk of damage to the goods passes to the Buyer by handing them over to the carrier at that place.
    3. If the purchase contract includes the obligation of the Seller to send the goods, but the Seller is not obliged to hand over the goods to the carrier at a certain place, the risk of damage to the goods passes to the Buyer when the goods are handed over to the first carrier for transport to the destination.
    4. Damage to the goods, which occurred after the transfer of its risk to the Buyer, does not affect his obligation to pay the purchase price, unless the damage to the goods occurred as a result of a breach of the Seller’s obligation. These effects will not occur if the Buyer has used his right to demand the delivery of replacement goods or the right to withdraw from the contract.

 

III. Goods defects

 

  1. If the Seller violates his obligation under Art. I. paragraph 2 of these General Terms and Conditions, the goods have defects. The delivery of goods other than those specified in the contract and defects in the documents necessary for the use of the goods are also considered to be defects in the goods.
    2. If it follows from the transport document, the document on the handover of the goods, or from the Seller’s declaration that he is delivering the goods in a smaller quantity or only a part of the goods, the provisions on defects in the goods do not apply to the missing goods.
    3. The Seller is not responsible for defects in the goods, which the Buyer knew about at the time of conclusion or, taking into account the circumstances under which the contract was concluded, should have known, unless the defects relate to the properties of the goods, which he was supposed to have according to the contract.
    4. The Seller is liable for a defect in the goods at the moment when the risk of damage to the goods passes to the Buyer, even if the defect becomes apparent only after this time. The seller’s obligations resulting from the quality guarantee are not affected by this.
    5. The seller is also responsible for any defect that arises after this period, if it is caused by a breach of his obligations.

 

  1. Quality guarantee

 

  1. As a guarantee for the quality of the goods, the seller undertakes in writing that the delivered goods will be suitable for use for the agreed, otherwise usual purpose or that they will retain the agreed, otherwise usual properties for a certain period of time.
    2. The assumption of the obligation for quality guarantees follows from the contract. The length of the warranty period, or the shelf life or usability of the delivered goods may be marked on its packaging. If a different warranty period is specified in the contract or the Seller’s warranty certificate, this period shall apply. If the shelf life or usability period is not specified in the contract, or in the warranty card, or on the product packaging, the general shelf life or shelf life of the products, which are specified in the Seller’s Complaint Conditions, apply.
    3. The warranty period starts from the day of delivery of the goods, unless otherwise stated in the contract or warranty certificate. If the Seller is obliged to send the goods, the warranty period runs from the day the goods arrive at the destination.
    4. The warranty period does not last for the period during which the Buyer cannot use the goods due to defects for which the Seller is responsible.
    5. The Seller’s liability for defects covered by the quality guarantee does not arise if these defects were caused by external events after the danger of damage to the goods had passed and were not caused by the Seller or persons with the help of which the Seller fulfilled his obligation.

 

  1. Obligations of the buyer

 

  1. The buyer is obliged to pay the agreed purchase price for the goods and take delivery of the delivered goods in accordance with the contract.
    2. The Buyer is obliged to perform the actions that are necessary according to the contract and this law in order for the Seller to deliver the goods. The Buyer is obliged to take over the delivered goods, unless it follows from the contract that he can refuse to take them over.
    3. The buyer is obliged to inspect the goods as soon as possible after the danger of damage to the goods has passed, taking into account the nature of the goods.
    4. If the goods are being sent to the Seller, the inspection can be postponed until the goods are delivered to their destination.
    5. If the Buyer does not inspect the goods or arrange for them to be taken over at the time of the passing of the risk of damage to the goods, he may make claims for defects detectable during this inspection, only if he proves that the goods already had these defects at the time of the passing of the risk of damage to the goods.

 

  1. Complaint of defects

 

  1. The Buyer is obliged to report to the Seller about defects in the goods without undue delay, after:

– The buyer found the defects.

– The buyer should have discovered the defects during the inspection, which he is obliged to carry out, while exercising professional care.

  1. If the Buyer does not fulfill this obligation within the specified time limits, the Buyer’s right from defects in the goods cannot be recognized in court proceedings.

 

VII. Claims from product defects in case of material breach of contract

 

  1. If the contract is violated in a substantial way by the delivery of goods with defects, the Buyer may:

– to demand the elimination of defects by delivery of replacement goods for defective goods, delivery of missing goods,

– demand the removal of defects by repairing the goods, if the defects are repairable,

– demand a reasonable discount from the purchase price or

– withdraw from the contract.

  1. The choice between these claims for product defects belongs to the Buyer only if he notifies the Seller in a timely notification of defects, or without unnecessary delay after this notification. The Buyer cannot change the applied claim without the Seller’s consent. Otherwise, he has claims from product defects as in the case of an insignificant breach of contract.
    3. However, if it turns out that the defects of the goods are irreparable, or that their repair would involve disproportionate costs, the Buyer may demand the delivery of replacement goods, if he requests this from the Seller without undue delay after the Seller has notified him of this fact.
    4. If the Seller does not remove the defects of the goods within a reasonable additional period or if he announces before the expiry of the period that he will not remove the defects, the Buyer may withdraw from the contract or demand an appropriate discount from the purchase price.

 

VIII. Claims from defects in the event of a minor breach of contract

 

  1. If the contract is violated in an insignificant way by the delivery of goods with defects, the Buyer may demand.

– delivery of missing goods and removal of other defects in the goods

– a discount from the purchase price

  1. If the Buyer requests the removal of defects in the goods, he cannot make any other claims from the defects of the goods, except for the claim for damages, before the expiry of the additional reasonable period for the removal of defects.
    3. If the Seller does not remove the defects of the goods within this period, the Buyer may claim a discount on the purchase price or withdraw from the contract, but he must notify the Seller in advance.
    4. If the Buyer does not claim a discount on the purchase price or withdraw from the contract according to the previous paragraph, the Seller is obliged to deliver the missing goods. He is obliged to remove other defects at his option by repairing the goods or supplying replacement goods, but the chosen method of removing defects may not cause the Buyer to incur disproportionate costs.
    5. Upon delivery of replacement goods, the Seller is entitled to demand that, at his expense, the Buyer returns the exchanged goods in the condition in which he delivered them.
    6. The right to a discount from the purchase price corresponds to the difference between the value that the goods without defects should have and the value that the goods delivered with defects should have, while the time in which proper performance should have taken place is decisive for determining the values.

 

  1. Special provisions on the effects of withdrawal from the contract

 

  1. The buyer cannot withdraw from the contract if he did not notify the seller of the defects in time.
    2. The effects of withdrawal from the contract do not arise or expire if the Buyer cannot return the goods in the condition in which they were received. However, this does not apply if:
  2. a) the impossibility of returning the goods in the condition stated there is not caused by the actions or omissions of the Buyer, or
    b) the change in the condition of the goods occurred as a result of an inspection properly carried out in order to detect defects in the goods.
    c) before the defects were discovered, the Buyer sold the goods or part of them, or used the goods in whole or in part or changed them during their usual use.
  3. In the case mentioned in para. 2 point c) the Buyer is obliged to return unsold or unconsumed goods or altered goods and provide compensation to the Seller in the amount in which he benefited from the said use.

 

  1. Acquisition of ownership

 

  1. The buyer acquires ownership of the goods only after full payment of the purchase price.
    2. The Buyer and the Seller can agree in writing that the Buyer acquires ownership before the time specified in paragraph 1.
    3. Prior to delivery, the Buyer acquires the ownership right to the transported goods when he obtains the authorization to handle the shipment.

 

  1. Final provisions

 

Buyers and Sellers are governed by:

  1. Contract.
    2. Secondly, the Seller’s Terms and Conditions.
    3. If there is no modification in the Business Terms and Conditions by provisions of the Commercial Code.

In case of disputes, the parties will try to reach an agreement. In the event that no agreement is reached between the Seller and the Buyer, disputes arising from purchase contracts will be governed by the legal order of the Slovak Republic and will be decided with finality in the court proceedings of the competent court in the territory of the Slovak Republic.

In case of ambiguities and contradictions, the Slovak version of these terms and conditions has a higher legal force than the English version of these terms and conditions.

 

RETURN POLICY

 

INTRODUCTORY PROVISION

 

This Complaints Policy applies to the sale of goods to companies, merchants, self-employed persons as well as to other persons who do not use the goods for personal consumption, but for the performance of business activities. The complaint procedure governs and applies to all sales contracts and the resulting legal relationships between the company Bc.Vladislav Hoľa – Ekofakt, the operator of the domain www.ekofakt.com (hereinafter referred to as the “Seller”) and its customers (hereinafter referred to as the “Buyer”). All deliveries of goods and services that were made during the period of validity of this Complaint Regulation are subject to it. The buyer is obliged to familiarize himself with the Complaints Procedure before ordering the goods. By ordering goods or services, as well as receiving goods or services from the Seller, the Buyer receives and accepts this Complaints Policy, which comes into effect for him by this act.

The seller proceeds according to the General Terms and Conditions and the provisions of the Commercial Code.

From the moment the risk of damage to the goods passes from the Seller to the Buyer, the Seller is not liable for damage to the products caused by a third party, a natural event, or the effects of the external environment.
The purchase of specialized products intended for professional use assumes the professional and technical knowledge of the buyer, his employees and service personnel.
The seller is not liable for damages caused by unprofessional handling, inappropriate product selection, inappropriate or unprofessional use of products, or excessive load.
The Seller assumes that the Buyer will make available information about the correct and safe use of the products for users and operators of water attractions in a sufficient manner.

 

Length of warranty for quality or usability.

 

With the exception of cases where it is agreed in the contract or marked on the product, due to the diversity of external environmental influences in water parks, it is not possible to determine a certain period of time during which the goods will be suitable for use or retain their usual properties for the supplied goods for professional use , or determine the wear time.

 

Products with an extended lifespan.

 

We provide a 120-day seam-tightness warranty for extended-life inflatable products with covered reinforced welds.

However, our standard products often last 1 to 2 seasons with proper care and a lower rate of wear.

 

Effects of the external environment and wear of products.

Inflatable products and sliding mats (hereinafter referred to as products) intended for use in water parks are characterized as consumables. They have their time of serviceability and service life, which is very dependent on the way of use and operation. Any changes in properties after being put into use are just a natural manifestation of wear and tear and exposure to external conditions. Wear characteristic of the given material, the given environment and the given intensity of use is not considered a product defect.

 

Durability and wear time of products in use depends on:

 

-a) intensity of use

-b) gentle treatment

-c) regular control of operating pressure

-d) regular cleaning of products from residual chlorine compounds

-e) method of transporting products on water slides

-f) the appropriateness of the correct choice of product for a given type of toboggan (running track)

-g) length of product exposure to direct sunlight

-h) other unnamed environmental influences

 

Examples of influences increasing wear and shortening the life of products:

 

Some toboggans have a smooth approach, and some types of toboggans have sudden changes in speed, or a higher load when hitting the approach pool. It happens that the type or size of the product for a given slide is inappropriately chosen, or the slide is designed in such a way that riders often fall into the pool. Handles can be overloaded as riders try to hold on to an overturned product.

 

Chlorine compounds can affect the aging of the material. Chlorine concentration is different in each water park and in each area. Chlorine wear reduction can be achieved at the end of the day by rinsing the products with clean water and laying them out to dry. Products have different lifetimes in pools where different water treatments are used. *2)

 

Gradual wear also occurs due to direct exposure to UV radiation and IR rays. Therefore, it is better to store unused products in a shed or in the shade.

 

It is necessary to use more products at the same time – the intensity of use of individual pieces will decrease.

 

Wear of products by contact of products with a rough surface. When transporting, customers often drag products behind them on the ground – concrete, stairs. When driving in the track, the products come into contact with a rough part or the edge of the pool.

 

Non-compliance with the Principles of proper maintenance *1), excessive load, length of exposure to direct sunlight, water composition and length of exposure to chlorine results in a substantial reduction in product life.

 

Wear weakens the products in the thinnest places, or in the most stressed places. The most exposed places of inflatable products are in the vicinity of the welds, where leaks gradually occur due to wear and especially the effect of chlorine. The places where the handles are attached are the most stressed places of the mats for sliding with handles. The connection between the solid material, which is the handle, and the flexible material, which is the foam, wears out due to external influences.

In case the products are punctured, cutted, or leaks occur due to wear and tear, we supply a set of material patches for repairs to the standard inflatable products in the package.

 

*1) Principles of proper maintenance and use important for reducing the impact of external influences, ensuring the slowing down of product wear and achieving a longer service life:

– The products must be freed of chlorine residues (chlorine salts) daily after use – by rinsing with clean water and then drying.
– Unused products must be protected from the effects of the external environment – minimize exposure to UV rays and IR radiation.
– Inflate the products correctly. Products inflated in a cold environment and transferred to the sun will heat up, which will increase the pressure and increase their volume.
– Ensure that customers carrying these products do not drag them on the ground, stairs, edges. Concrete sidewalks, stairs, edges of swimming pools, damage the surface of products due to friction. If possible, use elevators to transport products. In establishments where elevators are not used to transport products to the beginning of the slopes, the wear and tear of the products increases and at the same time their service life is reduced several times.

 

*2) The most famous methods of water treatment in swimming pools:

– salt treatment of water (salting)
– salt electrolysis
– chlorine gas
– calcium hypochlorite
– sodium hypochlorite
– UV radiation (plus chemistry) where the consumption of chemistry can decrease up to 10 times
– ozone disinfection (ozonization)
– oxygen chemistry
In addition to the type of water treatment, the PH value of the water environment also affects the wear of products.

 

Validity: from January 1, 2023

VŠEOBECNÉ OBCHODNÉ PODMIENKY.

ÚVODNÉ USTANOVENIE

Všeobecné obchodné podmienky upravujú všetky kúpne zmluvy a z nich vyplývajúce právne vzťahy medzi firmou Bc.Vladislav Hoľa – Ekofakt, prevádzkovateľom domény https://ekofakt.com (ďalej len „Predávajúci“) a jeho odberateľmi (ďalej len „Kupujúci“). Kupujúci sú obchodné spoločnosti, živnostníci, združenia, spoločnosti a firmy, ako aj iné osoby, ktorým tovar neslúži pre osobnú spotrebu, ale na výkon podnikateľskej činnosti. Vzťahy medzi Predávajúcim a Kupujúcim sa prioritne riadia podľa Všeobecných obchodných podmienok Predávajúceho. Ostatné neupravené vzťahy sa riadia podľa ustanovení Obchodného zákonníka. Všetky dodávky tovaru a služieb a právne vzťahy, ktoré boli uskutočnené v dobe platnosti týchto Všeobecných obchodných podmienok im podliehajú.

Objednaním tovaru, alebo služieb ako aj odberom tovaru, alebo služieb u Predávajúceho Kupujúci prijíma Všeobecné obchodné podmienky Predávajúceho. Týmto aktom vstupujú do platnosti pre všetky vzťahy medzi Kupujúcim a Predávajúcim.

I. VŠEOBECNÉ OBCHODNÉ PODMIENKY.

1. Predávajúci je povinný Kupujúcemu dodať tovar, odovzdať doklady, ktoré sa na tovar vzťahujú a umožniť kupujúcemu nadobudnúť vlastnícke práva k tovaru.
2. Predávajúci je povinný Kupujúcemu dodať tovar v množstve, akosti a vyhotovení ako určuje zmluva a musí ho zabaliť alebo vybaviť na prepravu vhodným spôsobom a odovzdať Kupujúcemu doklady, ktoré sú potrebné na prevzatie a užívanie tovaru.
3. Kupujúci nadobudne vlastnícke práva k tovaru až úplným zaplatením kúpnej ceny.
4. Ak bolo dohodnuté zabezpečenie záväzku zaplatiť kúpnu cenu, je Kupujúci povinný v dohodnutej dobe, inak včas pred dobou dojednanou na dodanie tovaru, odovzdať predávajúcemu doklady preukazujúce, že zaplatenie kúpnej ceny bolo zabezpečené v súlade so zmluvou. Ak Kupujúci nesplní túto povinnosť, môže Predávajúci odoprieť dodanie tovaru do doby odovzdania týchto dokladov. Ak Kupujúci nezabezpečí zaplatenie kúpnej ceny v dodatočne primeranej lehote určenej Predávajúcim, môže Predávajúci od zmluvy odstúpiť.
5. Ak je Kupujúci v omeškaní s prevzatím tovaru alebo so zaplatením kúpnej ceny v prípadoch, keď sa dodanie tovaru a zaplatenie kúpnej ceny má uskutočniť súčasne, a Predávajúci má tovar u seba, alebo s ním môže inak nakladať, musí Predávajúci urobiť opatrenia primerané okolnostiam na uchovanie tovaru. Predávajúci je oprávnený tovar zadržiavať, dokiaľ mu Kupujúci neuhradí primerané náklady, ktoré Predávajúcemu pri tom vznikli.
6. Podstatné porušenie zmluvy zo strany Predávajúceho predpokladá, že Predávajúci v čase uzavretia zmluvy vedel, alebo v tomto čase s prihliadnutím na účel zmluvy, ktorý vyplynul z jej obsahu alebo z okolností, za ktorých bola zmluva uzavretá, bolo rozumné predvídať, že druhá strana nebude mať záujem na plnení Predávajúceho pri takomto porušení zmluvy. Ak nie sú tieto kritériá podstatného porušenia zmluvy splnené, ide o nepodstatné porušenie. V pochybnostiach sa predpokladá, že porušenie zmluvy je nepodstatné.
7. Škodou na veci sa rozumie strata, zničenie, poškodenie, alebo znehodnotenie veci bez ohľadu na to, z akých príčin k nim došlo.

II. Nebezpečenstvo škody na tovare

1. Nebezpečenstvo škody na tovare prechádza na Kupujúceho v čase, keď prevezme tovar od Predávajúceho, alebo ak tak neurobí včas, v čase, keď mu Predávajúci umožní nakladať s tovarom a Kupujúci poruší zmluvu tým, že tovar neprevezme.
2. Ak je Predávajúci podľa zmluvy povinný odovzdať tovar dopravcovi v určitom mieste na prepravu tovaru Kupujúcemu, prechádza na Kupujúceho nebezpečenstvo škody na tovare jeho odovzdaním dopravcovi v tomto mieste.
3. Ak kúpna zmluva zahŕňa povinnosť Predávajúceho odoslať tovar, ale Predávajúci nie je povinný odovzdať tovar dopravcovi v určitom mieste, prechádza nebezpečenstvo škody na tovare na Kupujúceho, keď sa tovar odovzdá prvému dopravcovi na prepravu do miesta určenia.
4. Škoda na tovare, ktorá vznikla po prechode jej nebezpečenstva na Kupujúceho, nemá vplyv na jeho povinnosť zaplatiť kúpnu cenu, ibaže ku škode na tovare došlo v dôsledku porušenia povinnosti Predávajúceho. Tieto účinky nenastanú, ak Kupujúci využil svoje právo požadovať dodanie náhradného tovaru alebo právo od zmluvy odstúpiť.

III. Vady tovaru

1. Ak Predávajúci poruší svoju povinnosť podľa čl. I. ods. 2 týchto Všeobecných obchodných podmienok, má tovar vady. Za vady tovaru sa považuje aj dodanie iného tovaru než určuje zmluva a vady v dokladoch potrebných na užívanie tovaru.
2. Ak z prepravného dokladu, dokladu o odovzdaní tovaru, alebo z vyhlásenia Predávajúceho vyplýva, že dodáva tovar v menšom množstve alebo len časť tovaru, nevzťahujú sa na chýbajúci tovar ustanovenia o vadách tovaru.
3. Predávajúci nezodpovedá za vady tovaru, o ktorých Kupujúci v čase uzavretia vedel alebo s prihliadnutím na okolnosti, za ktorých sa zmluva uzatvorila, musel vedieť, ibaže sa vady týkajú vlastností tovaru, ktoré mal mať podľa zmluvy.
4. Predávajúci zodpovedá za vadu, ktorú má tovar v okamihu, keď prechádza nebezpečenstvo škody na tovare na Kupujúceho, aj keď sa vada stane zjavnou až po tomto čase. Povinnosti predávajúceho vyplývajúce zo záruky za akosť tým nie sú dotknuté.
5. Predávajúci zodpovedá takisto za akúkoľvek vadu, ktorá vznikne po tejto dobe, ak je spôsobená porušením jeho povinností.

IV. Záruka za akosť

1. Zárukou za akosť tovaru preberá predávajúci písomne záväzok, že dodaný tovar bude po určitú dobu spôsobilý na použitie na dohodnutý, inak na obvyklý účel alebo že si zachová dohodnuté, inak obvyklé vlastnosti.
2. Prevzatie záväzku za záruky na akosť vyplýva zo zmluvy. Dĺžka záručnej doby, alebo doba trvanlivosti, alebo použiteľnosti dodaného tovaru môže byť vyznačená na jeho obale. Ak je v zmluve alebo záručnom liste Predávajúceho uvedená odlišná záručná doba, platí táto doba. Ak nie je uvedená doba trvanlivosti alebo použiteľnosti v zmluve, alebo v záručnom liste, alebo na obale výrobku, platia všeobecné doby trvanlivosti alebo použiteľnosti výrobkov, ktoré sú uvedené v Reklamačných podmienkach Predávajúceho.
3. Záručná doba začína plynúť odo dňa dodania tovaru, ak zo zmluvy alebo záručného listu nevyplýva niečo iné. Ak je Predávajúci povinný odoslať tovar, plynie záručná doba odo dňa dôjdenia tovaru do miesta určenia.
4. Záručná doba neplynie po dobu, po ktorú Kupujúci nemôže užívať tovar pre jeho vady, za ktoré zodpovedá Predávajúci.
5. Zodpovednosť Predávajúceho za vady, na ktoré sa vzťahuje záruka za akosť, nevzniká, ak tieto vady boli spôsobené po prechode nebezpečenstva škody na tovare vonkajšími udalosťami a nespôsobil ich Predávajúci alebo osoby, s pomocou ktorých Predávajúci plnil svoj záväzok.

V. Povinnosti kupujúceho

1. Kupujúci je povinný zaplatiť za tovar dohodnutú kúpnu cenu a prevziať dodaný tovar v súlade so zmluvou.
2. Kupujúci je povinný urobiť úkony, ktoré sú potrebné podľa zmluvy a tohto zákona na to, aby Predávajúci mohol dodať tovar. Dodaný tovar je Kupujúci povinný prevziať, pokiaľ zo zmluvy nevyplýva, že jeho prevzatie môže odmietnuť.
3. Kupujúci je povinný prezrieť si tovar podľa možností čo najskôr po prechode nebezpečenstva škody na tovare, pričom sa prihliadne na povahu tovaru.
4. Ak je tovar Predávajúcemu odosielaný, môže sa prehliadka odložiť až do doby, keď je tovar dopravený do miesta určenia.
5. Ak Kupujúci tovar neprezrie alebo nezariadil, aby sa prevzal v čase prechodu nebezpečenstva škody na tovare, môže uplatniť nároky z vád zistiteľných pri tejto prehliadke, len keď preukáže, že tieto vady mal tovar už v čase prechodu nebezpečenstva škody na tovare.

VI. Reklamácia vád

1. Kupujúci je povinný podať správu Predávajúcemu o vadách tovaru bez zbytočného odkladu, po tom, čo:

– Kupujúci vady zistil.
– Kupujúci pri vynaložení odbornej starostlivosti mal vady zistiť pri prehliadke, ktorú je povinný uskutočniť.

2. Ak si Kupujúci túto svoju povinnosť nesplní v stanovených lehotách právo Kupujúceho z vád tovaru sa nemôže priznať v súdnom konaní.

VII. Nároky z vád tovaru pri podstatnom porušení zmluvy.

1. Ak je dodaním tovaru s vadami porušená zmluva podstatným spôsobom, môže Kupujúci:

– požadovať odstránenie vád dodaním náhradného tovaru za vadný tovar, dodanie chýbajúceho tovaru,
– požadovať odstránenie vád opravou tovaru, ak sú vady opraviteľné,
– požadovať primeranú zľavu z kúpnej ceny alebo
– odstúpiť od zmluvy.

2. Voľba medzi týmito nárokmi z vád tovaru patrí Kupujúcemu len, ak ju oznámi Predávajúcemu vo včas zaslanom oznámení vád, alebo bez zbytočného odkladu po tomto oznámení. Uplatnený nárok nemôže Kupujúci zmeniť bez súhlasu Predávajúceho. V opačnom prípade má nároky z vád tovaru ako pri nepodstatnom porušení zmluvy.
3. Ak sa však ukáže, že vady tovaru sú neopraviteľné, alebo že s ich opravou by boli spojené neprimerané náklady môže Kupujúci požadovať dodanie náhradného tovaru, ak o to Predávajúceho požiada bez zbytočného odkladu po tom, čo mu Predávajúci oznámil túto skutočnosť.
4. Ak Predávajúci neodstráni vady tovaru v primeranej dodatočnej lehote alebo ak oznámi pred jej uplynutím, že vady neodstráni, môže Kupujúci odstúpiť od zmluvy, alebo požadovať primeranú zľavu z kúpnej ceny.

VIII. Nároky z vád pri nepodstatnom porušení zmluvy

1. Ak je dodaním tovaru s vadami zmluva porušená nepodstatným spôsobom, môže Kupujúci požadovať.
– dodanie chýbajúceho tovaru a odstránenie ostatných vád tovaru
– zľavu z kúpnej ceny
2. Ak Kupujúci požaduje odstránenie vád tovaru, nemôže pred uplynutím dodatočnej primeranej lehoty na odstránenie vád uplatniť iné nároky z vád tovaru, okrem nároku na náhradu škody.
3. Ak Predávajúci neodstráni vady tovaru v tejto lehote môže Kupujúci uplatniť nárok na zľavu z kúpnej ceny alebo od zmluvy odstúpiť, na čo však musí Predávajúceho vopred upozorniť.
4. Pokiaľ Kupujúci neuplatní nárok na zľavu z kúpnej ceny alebo neodstúpi od zmluvy podľa predchádzajúceho odseku, je Predávajúci povinný dodať chýbajúci tovar. Ostatné vady je povinný odstrániť podľa svojej voľby opravou tovaru alebo dodaním náhradného tovaru, zvoleným spôsobom odstránenia vád však nesmie spôsobiť Kupujúcemu vynaloženie neprimeraných nákladov.
5. Pri dodaní náhradného tovaru je Predávajúci oprávnený požadovať, aby mu na jeho náklady Kupujúci vrátil vymieňaný tovar v stave, v akom mu ho dodal.
6. Nárok na zľavu z kúpnej ceny zodpovedá rozdielu medzi hodnotou, ktorú by mal mať tovar bez vád a hodnotu, ktorú mal mať tovar dodaný s vadami, pričom pre určenie hodnôt je rozhodujúci čas, v ktorom sa malo uskutočniť riadne plnenie.

IX. Osobitné ustanovenia o účinkoch odstúpenia od zmluvy

1. Kupujúci nemôže od zmluvy odstúpiť, ak vady včas neoznámil Predávajúcemu.
2. Účinky odstúpenia od zmluvy nevzniknú alebo zaniknú, ak Kupujúci nemôže vrátiť tovar v stave, v akom ho dostal. Toto však neplatí, ak:
a) nemožnosť vrátenia tovaru v stave tam uvedenom nie je spôsobené konaním alebo opomenutím Kupujúceho, alebo
b) k zmene stavu tovaru došlo v dôsledku prehliadky riadne vykonanej za účelom zistenia vád tovaru.
c) pred objavením vád Kupujúci tovar alebo jeho časť predal, alebo tovar úplne alebo sčasti spotreboval alebo ho pozmenil pri jeho obvyklom použití.
3. V prípade uvedenom v ods. 2 bod c) je Kupujúci povinný vrátiť nepredaný alebo nespotrebovaný tovar alebo pozmenený tovar a poskytnúť Predávajúcemu náhradu do výšky, v ktorej mal z uvedeného použitia prospech.

X. Nadobudnutie vlastníckeho práva

1. Kupujúci nadobúda vlastnícke právo k tovaru, až úplným zaplatením kúpnej ceny.
2. Kupujúci a Predávajúci si môžu písomne dojednať, že Kupujúci nadobudne vlastnícke právo pred dobou uvedenou v odseku 1.
3. Pred odovzdaním nadobúda Kupujúci vlastnícke právo k prepravovanému tovaru, keď získa oprávnenie nakladať so zásielkou.

XI. Záverečné ustanovenia

Kupujúci a Predávajúci sa riadia:
1. Zmluvou.
2. V druhom rade Obchodnými podmienkami Predávajúceho.
3. Ak neexistuje úprava v Obchodných podmienkach ustanoveniami Obchodného zákonníka.

V prípade sporov sa strany pokúsia o dohodu. V prípade, že nedôjde k dohode medzi Predávajúcim a Kupujúcim, spory vzniknuté z kúpnych zmlúv sa budú riadiť právnym poriadkom SR a budú rozhodnuté s konečnou platnosťou v súdnom konaní miestne príslušného súdu na území Slovenskej Republiky.

V prípade nejasností a rozporov má slovenská verzia týchto obchodných podmienok vyššiu právnu moc ako anglická verzia týchto obchodných podmienok.

 

REKLAMAČNÝ PORIADOK

ÚVODNÉ USTANOVENIE

Tento Reklamačný poriadok platí pri predaji tovaru firmám, obchodníkom, živnostníkom ako aj iným osobám, ktorým tovar neslúži pre osobnú spotrebu, ale na výkon podnikateľskej činnosti. Reklamačný poriadok upravuje a platí pre všetky kúpne zmluvy a z nich vyplývajúce právne vzťahy, medzi firmou Bc.Vladislav Hoľa – Ekofakt, prevádzkovateľom domény www.ekofakt.com (ďalej len „Predávajúci“) a jeho odberateľmi (ďalej len „Kupujúci“). Všetky dodávky tovaru a služieb, ktoré boli uskutočnené v dobe platnosti tohto Reklamačného poriadku mu podliehajú. Kupujúci je povinný oboznámiť sa s Reklamačným poriadkom ešte pred objednaním tovaru. Objednaním tovaru, alebo služieb, ako aj odberom tovaru, alebo služieb u Predávajúceho Kupujúci prijíma a akceptuje tento Reklamačný poriadok, ktorý týmto aktom pre neho vstupuje do platnosti.

Predávajúci postupuje podľa Všeobecných obchodných podmienok a podľa ustanovení Obchodného zákonníka.

Od momentu prechodu nebezpečenstva škody na tovare z Predávajúceho na Kupujúceho Predávajúci neručí za škody na výrobkoch spôsobené treťou stranou, živelnou udalosťou, alebo vplyvmi vonkajšieho prostredia.
Kúpa špecializovaných produktov určených na profesionálne používanie sa predpokladajú odborné a technické znalosti kupujúceho, jeho zamestnancov a obsluhujúceho personálu..
Predávajúci neručí za škody spôsobené neodbornou manipuláciou, nevhodným výberom produktu, nevhodným alebo neodborným používaním výrobkov, prípadne nadmernou záťažou.
Predávajúci predpokladá, že Kupujúci dostatočným spôsobom sprístupní informácie o správnom a bezpečnom používaní výrobkov pre používateľov a obsluhu vodných atrakcií.

Dĺžka záruky za akosť alebo použiteľnosť.

S výnimkou prípadov, kde je to dohodnuté v zmluve, alebo vyznačené na výrobku, nie je možné vzhľadom na rôznorodosť vplyvov vonkajšieho prostredia v akvaparkoch pre dodávaný tovar na profesionálne používanie stanoviť určitú dobu, počas ktorej bude tovar spôsobilý na použitie, alebo si zachová obvyklé vlastnosti, alebo stanoviť čas opotrebovania.

Výrobky s predĺženou životnosťou.

Na nafukovacie výrobky s predĺženou životnosťou s prekrytými zosilnenými zvarmi poskytujeme záruku na tesnosť zvarov v dĺžke 120 dní.
Nezriedka však aj naše štandardné produkty pri správnom ošetrovaní a nižšej miere opotrebenia vydržia 1 až 2 sezóny.

Vplyvy vonkajšieho prostredia a opotrebenie výrobkov.

Nafukovacie výrobky a podložky na šmýkanie (ďalej len výrobky) určené na používanie v akvaparkoch sú charakterizované ako spotrebný materiál. Majú svoju dobu prevádzkyschopnosti a životnosti, ktorá je veľmi závislá na spôsobe používania a prevádzky. Akékoľvek zmeny vlastností po uvedení do užívania sú už len prirodzeným prejavom opotrebenia a pôsobenia vonkajších podmienok. Opotrebenie charakteristické pre daný materiál, dané prostredie a pre danú intenzitu používania sa nepovažuje za vadu výrobku.

Trvanlivosť a doba opotrebovania produktov v používaní závisí od:
-a) intenzity používania
-b) šetrného zaobchádzania
-c) pravidelnej kontroly prevádzkového tlaku
-d) pravidelného čistenia produktov od zvyškov chlórových zlúčenín
-e) spôsobu transportu produktov na tobogány
-f) vhodnosť správneho výberu produktu pre daný typ tobogánu (jazdnej dráhy)
-g) dĺžka vystavenia produktov priamemu slnečnému žiareniu
-h) ďalších nemenovaných vplyvov vonkajšieho prostredia

Príklady vplyvov zvyšujúcich opotrebovanie a skracujúcich životnosť produktov:

Niektoré tobogány majú plynulý dojazd a u niektorých typov tobogánov dochádza k prudkým zmenám rýchlosti, prípadne k vyššej záťaži pri dopade do dojazdového bazénu. Stáva sa, že je nevhodne zvolený typ, alebo veľkosť produktu pre daný tobogán, alebo je jeho dráha navrhnutá tak, že na ňom často dochádza k prevrhnutiu jazdcov do bazénu. Rúčky môžu byť nadmerne zaťažené pri snahe jazdcov udržať sa prevráteného produktu.

Chlórové zlúčeniny môžu vplývať na starnutie materiálu. Koncentrácia chlóru je v každom akvaparku a v každom priestore iná. Zníženie opotrebenia pôsobením chlóru sa dá dosiahnuť po skončení dňa opláchnutím výrobkov čistou vodou a rozložením, aby sa vysušili. Rozdielnu životnosť majú výrobky v bazénoch, kde sa používa rozdielna úprava vody. *2)

K postupnému opotrebovaniu dochádza aj priamym pôsobením UV žiarenia a IR lúčov. Nepoužívané výrobky je preto vhodnejšie skladovať v prístrešku, alebo v tieni

Je potrebné používať súčasne viac výrobkov – zníži sa intenzita používania jednotlivých kusov.

Opotrebovanie výrobkov kontaktom výrobkov s drsným povrchom. Zákazníci pri prenášaní často ťahajú výrobky za sebou po zemi – betóne, schodoch. Pri jazde v dráhe dochádza ku kontaktu výrobkov s drsnou časťou, prípadne okrajom bazénu.

Nerešpektovanie Zásad správnej údržby *1), nadmerná záťaž, dĺžka vystavenia priamemu slnečnému žiareniu, zloženie vody a dĺžka pôsobenia chlóru má za následok podstatné zníženie životnosti výrobku.

Opotrebením dochádza k oslabeniu výrobkov na najtenších miestach, prípadne na najviac zaťažovaných miestach. Najexponovanejšie miesta nafukovacích výrobkov sú v okolí zvarov, kde dochádza vplyvom opotrebenia a hlavne vplyvu chlóru k netesnostiam. Najviac zaťažované miesta podložiek na šmýkanie s rúčkami sú práve miesta uchytenia rúčok. Spojenie pevného materiálu, ktorým je rúčka a pružného materiálu, ktorým je pena, sa pôsobením vonkajších vplyvov opotrebuje.

Pre prípad predratia, alebo prederavenia produktov, alebo vzniku netesností opotrebovaním dodávame k štandardným nafukovacím produktom v balení sadu materiálových záplat na opravy.

*1) Zásady správnej údržby a používania dôležité pre zníženie pôsobenia vonkajších vplyvov, zabezpečenie spomalenia opotrebenia výrobkov a dosiahnutie vyššej životnosti :
– Výrobky je potrebné denne po použití zbaviť zbytkov chlóru (chlórových solí) – opláchnutím čistou vodou a následným vysušením.
– Nepoužívané výrobky je potrebné chrániť pred vplyvmi vonkajšieho prostredia – minimalizovať pôsobenie UV lúčov a IR žiarenia.
– Správne nahustiť výrobky. Výrobky nahustené v chladnom prostredí a prenesené na slnko sa rozohrejú, čím dôjde k zvýšeniu tlaku a zväčšia svoj objem.
– Zabezpečiť, aby zákazníci, ktorí prenášajú tieto výrobky ich neťahali po zemi, schodoch, hranách. Betónové chodníky, schody, okraje bazénov, poškodzujú pri trení povrch výrobkov. Pokiaľ je to možné, na transport výrobkov používať výťahy. V prevádzkach, kde sa nepoužívajú výťahy pre transport výrobkov na začiatok zjazdoviek zvyšuje sa opotrebovanie produktov a zároveň sa niekoľkonásobne zníži ich životnosť.

*2) Najznámejšie spôsoby úpravy vody v bazénoch:

– soľná úprava vody (solenie)
– soľná elektrolýza
– plynný chlór
– chlórnan vápenatý
– chlórnan sodný
– UV žiarenie (plus chémia) kde spotreba chémie môže klesnúť až 10 násobne
– Dezinfekcia ozónom (ozonizácia)
– kyslíková chémia
Okrem typu úpravy vody má vplyv na opotrebenie výrobkov aj hodnota PH vodného prostredia.
